These Terms of Service (“Terms”) govern access to and use of the Earth Conscious Solutions (“ECS,” “we,” “us”) website, our request-for-quote (“RFQ”) and quotation services, and any sale of bio-based industrial ingredients or samples through this site. By submitting an RFQ, requesting a sample, or placing an order, you agree to these Terms on behalf of yourself and the organization you represent.
Business-to-business scope
ECS operates as a vendor-neutral sourcing desk for business and institutional buyers. The site is intended for procurement, technical, and commercial professionals. It is not directed at consumers, and products are not offered for personal, family, or household use. You represent that you are purchasing in the course of a trade or business.
Quotes and the RFQ process
Quotations are prepared in response to the specifications you provide. A quotation is an invitation to transact, not a binding offer, unless it states otherwise in writing. Pricing, lead time, minimum order quantity, and availability are valid only for the period stated on the quotation and are subject to confirmation against current producer supply at the time of order. A binding contract is formed only when ECS issues a written order acknowledgment or proforma invoice that you accept.
Ingredient and sample sales
Where products are sold directly, including through our online catalog, the description, grade, and specification shown at the time of purchase govern that sale. Samples are provided for evaluation and qualification only and are supplied in limited quantities. Technical data, certificates of analysis, and specifications originate with the producing party; ECS passes them through and does not independently warrant producer data unless expressly stated in a signed agreement.
No retail or fitness guarantee
Because end-use conditions are outside our control, ECS does not guarantee that any ingredient is fit for a particular application or formulation. You are responsible for testing and qualifying each material against your own specifications, regulatory obligations, and process conditions before use. Any agronomic, performance, or environmental characteristics are described as supplied by the producer and should be independently verified.
Intellectual property
The site, its text, data compilations, comparison frameworks, and graphics are owned by ECS or its licensors and are protected by applicable law. You may use them for your internal evaluation and procurement purposes. You may not republish, resell, or systematically extract site content without written permission.
Limitation of liability
To the maximum extent permitted by law, ECS is not liable for indirect, incidental, special, or consequential damages, or for lost profits, arising from use of the site or any product sourced through it. Our aggregate liability for any claim is limited to the amount you paid to ECS for the specific product or service giving rise to the claim.
Governing law and dispute resolution
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws rules. The parties will first attempt to resolve any dispute through good-faith negotiation. Any dispute not resolved within thirty days may be submitted to binding arbitration administered in Texas under the Commercial Arbitration Rules of the American Arbitration Association, with each party bearing its own costs unless the arbitrator decides otherwise. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

The site is provided on an “as is” and “as available” basis. We may revise these Terms at any time by posting an updated version with a new effective date. Continued use after changes constitutes acceptance.
